1. Introduction
These Terms of Service (“Terms”) govern your access to and use of Crateed’s applications, websites, and related services (“Services”). By creating an account, accessing, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
Legal notice. This document is provided for general information and does not constitute legal advice.
2. Definitions
- “User” means an individual using the Services.
- “Business” means any entity using the Services for commercial purposes, including sellers, resellers, or organizations.
- “Vault” means the personal inventory feature to add, manage, and view the estimated value of items.
- “Listings” means product listings created or distributed via the Services, including to third‑party marketplaces.
- “Content” means data, text, images, video, metadata, feedback, or other materials uploaded or generated via the Services.
- “You” means the User or Business, as applicable. “We/Us” means Crateed.
3. Eligibility & Accounts
- Age. You must be at least 16 years old (or older where required by local law). If you are under the age of majority, you represent that you have parental consent.
- Authority. If you use the Services on behalf of a Business, you represent that you have authority to bind that Business to these Terms.
- Account security. You must keep your credentials confidential and maintain accurate account information. You are responsible for activities under your account unless caused by our breach.
4. Acceptable Use & Prohibited Items
You may use the Services only in compliance with these Terms and all applicable laws and marketplace rules. You agree not to:
- Violate laws, including consumer protection, product safety, tax, intellectual property, sanctions, export, or anti‑money‑laundering laws.
- Upload unlawful, fraudulent, misleading, defamatory, or infringing Content.
- Interfere with or disrupt the Services; attempt to bypass security; reverse engineer or access restricted areas without authorization.
- Collect or process personal data from the Services except as permitted by these Terms and applicable law.
Prohibited items. You may not list, sell, or distribute content or items that relate to: firearms or parts; explosives; other regulated weapons; hazardous chemicals; self‑harm tools; electronic surveillance/spyware; terrorist or extremist merchandise; adult sexual products; prescription/controlled drugs; alcohol or nicotine products; recreational drugs; gambling services; counterfeit or stolen goods; wildlife or environmental contraband; or any items prohibited by applicable law or marketplace policy. We may update this list from time to time.
5. Marketplace Role & Listings
- Platform role. Crateed provides tools to create, manage, and distribute Listings. Unless stated otherwise, Crateed is not the seller of record, does not take title to items, and does not guarantee a sale.
- Your responsibilities. You are responsible for the accuracy of Listings (titles, descriptions, pricing, condition), compliance with category and attribute requirements, and fulfillment (shipping, returns, customer service) on each destination marketplace.
- Marketplace policies. Your Listings must comply with the terms and policies of each marketplace you use (e.g., eBay, Vinted, Blocket, Depop, and 157+ others). If a marketplace removes or flags a Listing, we may reflect that status in the Services and/or remove or modify the Listing.
- Payment processors. Payments are handled directly between you and the destination marketplace or their processors. Their terms apply to those transactions.
- Data sharing. For the eBay direct API, Crateed transmits Listing data on your behalf. For all other platforms, data is pasted by you directly — Crateed does not transmit data to those platforms. See Section 11.
- Cross-listing scope. Except where explicitly stated (e.g., eBay direct API), Crateed does not automatically create, publish, modify, or remove listings on third-party marketplaces. You remain responsible for reviewing and submitting listing information to each destination marketplace.
- P2P trades. Crateed is not a party to trades between users and does not guarantee the authenticity, condition, ownership, delivery, or performance of any traded item. All trades are conducted directly between users at their own risk.
6. Your Content & Licenses
- Ownership. You retain ownership of Content you upload to the Services.
- License to us. You grant Crateed a worldwide, non‑exclusive, royalty‑free license to host, store, reproduce, modify (e.g., for formatting, resizing, transcoding), publicly display, and distribute your Content as necessary to operate, improve, and market the Services (including to marketplaces and end‑buyers).
- Feedback. If you provide ideas or suggestions, you grant us a perpetual, irrevocable license to use them without restriction.
- Removal. We may remove or disable Content that we reasonably believe violates these Terms or law.
- Backups. You are responsible for backing up your Content.
- Public storefronts. You are solely responsible for all content displayed on your public profile, storefront, collections, custom pages, external links, affiliate links, embedded content, and media blocks. Public collections are subject to the same content rules as profiles. Crateed may remove or disable any public content that violates these Terms or applicable law.
7. AI Features & Valuations
- AI outputs. Our AI may generate product recognition, suggested attributes, titles/descriptions, and estimated values. Outputs may be inaccurate or incomplete. You must review and approve before publishing.
- Valuations. Vault valuations are estimates based on available data and do not guarantee resale value or transaction outcomes.
- No financial advice. Market data, price estimates, buy signals, sell signals, trend indicators, price alerts, forecasts, and valuation insights are informational tools only. They do not constitute financial, investment, tax, or professional advice. You rely on them entirely at your own risk.
- Data quality. Market data may be delayed, incomplete, inaccurate, or unavailable. Analytics metrics may differ from third-party platform reporting due to differences in measurement methodologies. Alert delivery is not guaranteed and may be delayed. Third-party market data remains the property of its respective owners and is subject to their terms.
- Vault ownership. You represent that you have lawful possession of items added to the Vault and the legal right to sell, trade, or otherwise distribute items listed through the Services.
- Usage permissions. You authorize us to process your Content with AI models (our own or third‑party) to provide and improve features.
8. Integrations & Third‑Party Terms
- Integrations (e.g., marketplaces, analytics, shipping, messaging) are provided “as available.” Third‑party terms, privacy notices, and fees may apply.
- Crateed is not responsible for third‑party services and does not control their availability or policies.
- For the eBay direct API, you authorize Crateed to act as your agent to transmit, update, or remove Listings via the eBay API. For all other platforms, you initiate actions directly via copy-paste tools provided by Crateed.
- Shipping. Crateed provides tools to compare carrier rates, purchase labels, and track shipments as a convenience. Crateed is not a carrier or shipping provider and is not responsible for carrier performance, delivery delays, lost or damaged shipments, incorrect tracking information, or disputes between you and the carrier. All shipping contracts are between you and the carrier.
- API & webhooks. For Business plan API and webhook access, Crateed may rate-limit, suspend, or revoke access that negatively impacts platform stability, security, or fair use.
- Sponsored content. Certain areas of the Services may contain sponsored content, advertisements, promoted listings, or paid placements. Such content may be displayed based on relevance, user activity, or commercial arrangements. Sponsored content does not constitute endorsement by Crateed.
9. Subscriptions, Fees & Taxes
- Some features require a paid plan as shown on Pricing. We may change fees with prior notice.
- Charges are billed in advance on a recurring basis unless otherwise stated. You authorize us or our payment processors to charge your payment method for all fees.
- Fees are exclusive of taxes. Where required, we will collect VAT/GST or other taxes, or you will self‑assess and remit as applicable.
10. Trials, Cancellation & Refunds
- You may cancel at any time via your account settings; cancellation takes effect at the end of your current billing period unless stated otherwise.
- Except where required by law or expressly stated, payments are non‑refundable.
- EEA/UK withdrawal right. If you are a consumer, you may have a 14‑day right to withdraw from a new subscription. By starting a paid plan immediately, you consent to immediate supply and acknowledge that the withdrawal right may be lost once the service begins. See Section 22.
11. Data Protection & Privacy
- Your use of the Services is subject to our Privacy Policy.
- Where you act as a controller and Crateed processes personal data on your behalf (e.g., buyer details for orders), a data processing addendum (DPA) may apply upon request.
- You must have a lawful basis to upload personal data to the Services and to instruct us to process it.
12. Security & AML/KYC
- We implement reasonable administrative, technical, and physical safeguards. However, no method is 100% secure, and we cannot guarantee absolute security.
- We may, directly or via partners, perform identity verification (KYC) and monitor transactions for anti‑money‑laundering (AML) and fraud prevention. If you fail verification or we suspect unlawful activity, we may limit or suspend your access.
13. Intellectual Property; Takedowns
- The Services and all related IP (excluding your Content) are owned by Crateed or its licensors.
- If you believe Content infringes your rights, you may submit a notice to ip@crateed.com with sufficient detail to locate the material and proof of rights. We may remove or disable access where appropriate and notify the uploader.
- We may terminate repeat infringers’ accounts.
- Market data. Market data, valuation models, pricing signals, analytics, rankings, trend indicators, and derived datasets generated by Crateed remain the intellectual property of Crateed and its licensors. You may not scrape, redistribute, or commercialise this data without our written consent. Third-party market data (e.g., eBay, Tradera) remains the property of its respective owners and is subject to their terms.
14. Sanctions & Export Controls
You represent that you are not located in, under the control of, or a resident or national of any country or person subject to embargoes or sanctions, and you will not use the Services for restricted end‑uses.
15. Warranties
To the maximum extent permitted by law, the Services are provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non‑infringement, and uninterrupted or error‑free operation.
16. Limitation of Liability
To the maximum extent permitted by law, Crateed will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, goodwill, or business interruption. Our aggregate liability for all claims relating to the Services will not exceed the greater of (a) the amounts paid by you to Crateed for the Services in the 12 months preceding the event giving rise to liability, or (b) 100 USD.
Nothing in these Terms excludes liability that cannot be excluded by law (e.g., for death or personal injury caused by negligence, or for fraud).
17. Indemnification
You will defend, indemnify, and hold harmless Crateed and its affiliates from and against any claims, losses, and expenses (including reasonable legal fees) arising from or relating to your Content, your Listings, your breach of these Terms, or your violation of law.
18. Suspension & Termination
- We may suspend or terminate your access immediately for material breach, legal risk, or harm to others.
- We may reclaim or reassign usernames and public profile URLs associated with accounts that have been inactive for an extended period, or following account deletion.
- Upon termination, your license to use the Services ends. Some provisions survive termination (e.g., payment obligations, IP, indemnities, disclaimers, and limitations of liability).
19. Changes to the Services or Terms
- We may modify the Services (including adding or removing features). For material changes to these Terms, we will provide notice (e.g., by email or in‑product message). Continued use after the effective date constitutes acceptance.
20. Governing Law & Disputes
These Terms are governed by the laws of Sweden, without regard to conflict‑of‑laws principles. The courts of Stockholm, Sweden will have exclusive jurisdiction, except that consumers may bring claims in their country of residence where required by law.
21. Miscellaneous
- Communications. You consent to receive service notices electronically.
- Assignment. You may not assign these Terms without our consent. We may assign to an affiliate or in connection with a merger, acquisition, or asset sale.
- Entire agreement. These Terms, the Privacy Policy, and any order forms/DPA constitute the entire agreement.
- Severability. If any provision is unenforceable, the remainder remains in effect.
- No waiver. Failure to enforce a provision is not a waiver.
- Language. If these Terms are translated, the English version controls in case of conflict.
22. Regional Terms (EEA/UK/CH)
- Consumer rights. If you are a consumer, you have statutory rights that cannot be excluded. Nothing in these Terms affects those rights.
- Right of withdrawal (EEA/UK). You may withdraw from a new subscription within 14 days of purchase. If you requested immediate performance, you acknowledge that the right may be lost once the service begins. If applicable, refunds will be provided in accordance with law.
- Platform status. Crateed is an intermediary platform and not a party to sales contracts between sellers and buyers using connected marketplaces.
- Notice & Action. To report illegal content, contact legal@crateed.com with details to identify the content (URL, screenshots, reason). We will review and act as required by law.
- DSA intermediary status. Crateed acts as an intermediary hosting provider and marketplace facilitator. Crateed does not actively monitor all user-generated content but may review, remove, restrict, or disable content that violates applicable law, these Terms, or platform policies upon becoming aware of it or following a valid notice.
